Paramount Antitrust Talks Face New Stumbling Block

Bonta has said that he would only accept “robust structural remedies” as part of a deal with Paramount.

CBS Sports parent company Paramount is pushing hard to settle its legal differences with a dozen U.S. states and complete a $110 billion takeover of Warner Bros. Discovery, if possible, but the pathway to do so is particularly rocky. 

Paramount and California attorney general Rob Bonta, who is leading an antitrust lawsuit against the company, held an initial meeting last week, which proved to be a breakthrough after a federal judge set a trial schedule not set to begin until March 2027. After an alleged leak of that session, however, Bonta called off a subsequent meeting scheduled for Monday.

“Not only did Paramount leak the alleged substance of settlement discussions, but they misrepresented these discussions, demonstrating a lack of good faith,” Bonta said in a statement. “As soon as Paramount stops playing games and engages sincerely, my office is happy to meet again.”

Several political and industry leaders, particularly in California, have called for a settlement, including state Gov. Gavin Newsom, Los Angeles Mayor Karen Bass, the Directors’ Guild of America, and the trade organization Cinema United.

Paramount’s merger deal, if completed, would include WBD’s TNT Sports. Later Monday, Paramount said it did not disclose the substance of the initial meeting with Bonta.

“As we have assured the attorney general’s office, Paramount has not been the source of the leaks of any of our confidential discussions with the AG’s office,” the company said in a statement. “We remain hopeful and stand ready to continue good faith discussions to resolve the attorneys general suit and move forward with our plans for increased competition and increased output to the benefit of the talent and entertainment workers.”

Negotiating Dynamics

While there has never been any assurance that the preliminary talks between Paramount and Bonta would lead to a deal, the fact that there has been any discussion at all is a sizable pivot. Previously, Bonta said he had no interest in a settlement, and that he was eager to take his claim to trial in order to block the merger. 

Now, there are indications of what Bonta might want in an agreement. Bonta himself said that he would only accept “robust structural remedies,” and multiple reports suggested that type of framework would involve selling off some of the involved television channels, though it’s not yet clear which ones, as well as keeping Paramount’s own movie studio separate from WBD’s. 

While the legal case focuses primarily on the potential Hollywood-related impacts of the deal, and an alleged violation of federal antitrust law, the Paramount-WBD agreement also has far-reaching sports impacts. The planned combination of TNT Sports and CBS Sports would have touchpoints in nearly every major pro and college sports entity in the U.S., with the notable exception of the NBA.  

During this period of uncertainty, both CBS Sports and TNT Sports are continuing on their separate paths. CBS Sports has big expectations for the upcoming NFL season after a banner 2025 campaign that included an across-the-board run as the league’s most-watched rights holder. TNT Sports, meanwhile, remains in its period of reinvention without previously held NBA live rights, but a recent WBD earnings report showed a sizable drop in ad sales without the presence of that league. 

Paramount, meanwhile, faces mounting financial costs surrounding the WBD situation. The company will be subject to quarterly ticking fees, amounting to roughly $650 million for each quarter after Sept. 30 in which the WBD deal does not close. Additionally, the extended timetable also brings into play an additional $7 billion breakup fee that Paramount would owe WBD if the deal doesn’t close due to regulatory issues.
