The sacked board member of the Women’s Professional Baseball League isn’t going down without a fight.
In legal filings made public on Tuesday, the new league’s largest investor, Mina Kim, argues that CEO Keith Stein unlawfully removed her from the board of the WPBL.
Kim and the league have been tangled in a complicated legal mess since the summer. Kim filed a books and records request in the Delaware Court of Chancery seeking more financial information from the league, citing “mounting red flags” about the WPBL’s business operations.
On Sept. 30, Front Office Sports exclusively reported that Stein fired Kim from the league’s board of directors, and filed to dismiss her Delaware case.
Kim took two legal steps on Oct. 7 in the Delaware Court of Chancery, both of which became public on Tuesday. Her verified complaint challenges Stein’s decision to fire Kim from the board. The other filing asks for two motions: the board remaining as is for the time being—with Kim on it—and expedited proceedings to determine whether Stein’s attempt to fire her was legal or not.
The filings say documents produced in the books and records request had so far “revealed a startling pattern of misconduct and self-dealing.” Stein fired Kim from the board “in retaliation for her probing of his misconduct,” the filings say, and “timed it to cut off” her books and records request.
An attorney for the WPBL did not immediately respond to a request for comment.
Additionally, on Monday, the judge overseeing Kim’s books and records request, Magistrate in Chancery Danielle Gibbs, ruled to stay that proceeding while the new challenge unfolds.
The complaint says the WPBL filed a false tax report in Delaware that did not list its other directors and was signed by a chief financial officer who did not have an official agreement with the board. The filing also claims that two other members of the board, Kara Roll and Tamara Holmes, were not properly appointed because the rest of the board did not approve them.
